End User License Agreement

BY INSTALLING, COPYING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.

1. Definitions

• "Software" means the Kantivo desktop accounting application, including all executable files, documentation, updates, and related materials.
• "License" means the right to install and use the Software as granted under this Agreement.
• "License Key" means the unique alphanumeric code required to activate the Software.
• "User" means an individual authorized to access and use the Software under your license.
• "Company" means a distinct business entity created within the Software for accounting purposes.
• "Documentation" means the user guides, help files, and support materials provided with the Software.

2. License Grant

2.1 Grant of License

Subject to your compliance with this EULA and payment of applicable fees, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to:

• Install the Software on devices you own or control
• Use the Software for internal business accounting purposes
• Create backups for disaster recovery purposes
• Export your data in standard formats

2.2 License Tiers

The scope of your license depends on the tier purchased:

*Enterprise tiers include a base allocation of 30 users and 30 companies. Additional capacity is available for commonly-owned entities upon verification. See Section 2.5 below.

2.3 Installation Rights

• Trial/Basic/Professional/Accountant: One (1) installation per license
• Enterprise: Installations for authorized users as specified in your license agreement
• You may transfer the Software to a new device if the previous installation is permanently removed

2.4 Updates and Upgrades

• Updates (bug fixes, security patches): Included free with active subscription
• Upgrades (new features, major versions): Included free with active subscription
• Automatic Updates: The Software may automatically download and install updates
• Pre-Update Backups: The Software creates automatic backups before major updates

2.5 Enterprise License - Common Ownership Requirement

Enterprise tier licenses (True Enterprise and Accountant Enterprise) are subject to the following terms:

Base Allocation:

• Each Enterprise license includes an initial allocation of 30 users and 30 companies
• This base allocation is designed to meet the needs of most legitimate business operations

Unlimited Capacity for Commonly-Owned Entities:

• Additional users and companies beyond the base allocation are available at no extra charge
• Capacity increases require verification of common ownership of all entities
• Contact support@kantivo.app with ownership documentation to request increases

Acceptable Ownership Documentation:

• Articles of incorporation showing parent-subsidiary relationships
• Organizational charts demonstrating common ownership structure
• State business registration showing same registered agent or owner
• CPA or attorney letter confirming related entity status
• Operating agreements for holding company structures

Single Legal Entity Principle:

Each Enterprise license is granted to a single legal entity (corporation, LLC, partnership, or sole proprietorship) and may include:

• Wholly-owned subsidiaries
• Majority-owned subsidiaries (>50% ownership)
• DBAs and trade names under the same entity
• Divisions and departments within the entity

The license may NOT be used for:

• Unrelated third-party businesses
• Clients of the licensee (except as noted for Accountant Enterprise below)
• Franchisees not under common ownership
• Business partners or joint ventures without majority control

Accountant Enterprise Exception:

Licensed accounting professionals using the Accountant Enterprise tier may create companies within the Software for the purpose of providing professional bookkeeping and accounting services to clients. This exception does NOT permit:

• Providing clients with direct login credentials to the Software
• Reselling or sublicensing the Software to clients
• Operating the Software as a hosted service for client self-service

3. License Restrictions

3.1 Prohibited Uses

You may NOT:

Distribution:

• Copy, distribute, or share the Software with third parties
• Rent, lease, lend, sell, or sublicense the Software
• Provide the Software as a service (SaaS) to third parties
• Bundle the Software with other products

Modification:

• Modify, adapt, translate, or create derivative works of the Software
• Reverse engineer, decompile, or disassemble the Software
• Remove, alter, or obscure any proprietary notices (copyright, trademark)

Misuse:

• Use the Software for illegal purposes
• Bypass or circumvent license activation mechanisms
• Share your License Key with unauthorized users
• Use the Software in high-risk environments (medical, aviation, nuclear, etc.)
• Use the Software to violate third-party rights

User/Company Limits:

• Exceed the maximum number of users allowed by your license tier
• Exceed the maximum number of companies allowed by your license tier
• Create multiple licenses to circumvent limits (one license per business entity)

3.2 License Enforcement

The Software includes technical measures to enforce license limits:

• User count validation (max users per tier)
• Company count validation (max companies per tier)
• Hardware fingerprinting (prevents unauthorized transfers)
• License expiration checks
• Online activation requirement

Tampering with these measures violates this EULA and may result in immediate license termination.

4. Intellectual Property Rights

4.1 Ownership

The Software is licensed, not sold. Licensor and its licensors retain all right, title, and interest in:

• Source code and object code
• Algorithms and trade secrets
• User interface design
• Documentation
• Trademarks and logos
• Patents and copyrights

4.2 Your Data

4.3 Trademarks

"Kantivo" and all related logos are trademarks of Kantivo LLC. You may not use our trademarks without prior written permission.

4.4 Feedback

If you provide feedback, suggestions, or feature requests, Licensor may use them to improve the Software without obligation or compensation to you.

5. Subscription & Payment

5.1 Trial Period

Kantivo offers a 30-day free trial with full feature access. No credit card required. Trial licenses automatically expire after 30 days.

5.2 Paid Subscriptions

Continued use after the trial requires a paid subscription:

• Annual: Billed annually on subscription anniversary

5.3 Payment Terms

• Payment processed securely via Stripe, Inc.
• Subscriptions automatically renew unless canceled
• You authorize recurring charges to your payment method
• Price changes require 30 days' notice

5.4 Late Payment

If payment fails:

• Grace period: 3 days to update payment method
• After 3 days: License suspended (read-only mode)
• After 15 days: License terminated

5.5 Refunds

• 30-day money-back guarantee on first purchase
• Pro-rated refunds on annual subscriptions (within 30 days of renewal)
• No refunds for Terms violations

6. Term & Termination

6.1 License Term

• Trial: 30 days from activation
• Subscription: Annual, with automatic renewal

6.2 Termination by You

You may terminate by:

• Canceling your subscription (access continues until end of billing period)
• Uninstalling the Software
• Emailing support@kantivo.app

6.3 Termination by Us

We may terminate immediately for:

• Non-payment
• Violation of this EULA
• Fraudulent activity
• Illegal use

6.4 Effect of Termination

Upon termination:

• Your license terminates immediately
• You must cease all use and uninstall the Software
• Your data remains accessible in read-only mode for 1 year
• You may export your data within 30 days
• Refunds (if applicable) processed according to Section 5.5

7. Data & Privacy

7.1 Data Storage

• Financial Data: Stored locally on your computer (PostgreSQL database)
• License Data: Stored on Licensor's secure servers (license keys, activation records)

7.2 Backups

• Automatic daily backups to your local Documents folder
• Optional encrypted backups (AES-256-GCM)
• Pre-update safety backups
• 30-day retention policy (automatic cleanup)

7.3 Privacy

Your use of the Software is subject to our Privacy Policy (incorporated by reference). Key points:

• We do NOT access your financial data (stored locally)
• We collect license activation data (email, hardware fingerprint)
• We use Sentry.io for error tracking (anonymous)
• We use Stripe for payment processing (PCI-compliant)
• We do NOT sell your data

7.4 Third-Party Integrations (Optional)

The Software offers optional integrations with third-party services:

• Bank Feeds (Teller): Connect bank accounts for automatic transaction syncing. Your bank credentials are authenticated directly with your bank. A secure token is stored on our servers to enable syncs. Transaction data passes through our servers during sync but is NOT retained - it is immediately delivered to your local database.
• Payment Processing (Stripe): Accept customer payments. All payment data is handled by Stripe.

Use of third-party integrations is subject to their respective terms and privacy policies. See our Privacy Policy for details.

7.4 Data Export

You may export your data at any time in CSV, Excel, PDF, or PostgreSQL backup formats. No fees charged.

8. Warranties & Disclaimers

8.1 Limited Warranty

Licensor warrants that the Software will perform substantially in accordance with the Documentation for 90 days from purchase. Your exclusive remedy for breach of this warranty is a full refund.

8.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED ABOVE, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.

LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ERROR-FREE OR UNINTERRUPTED OPERATION
• ACCURACY OF RESULTS

8.3 No Accounting Advice

The Software is a tool for recording financial transactions. IT IS NOT A SUBSTITUTE FOR PROFESSIONAL ACCOUNTING OR TAX ADVICE. Consult a licensed accountant or CPA for accounting guidance.

9. Limitation of Liability

9.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
• LOSS OF DATA (except as caused by gross negligence)
• INTERRUPTION OF BUSINESS
• COST OF SUBSTITUTE SOFTWARE

9.2 Maximum Liability Cap

LICENSOR'S TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

9.3 Critical Use Disclaimer

THE SOFTWARE IS NOT DESIGNED FOR USE IN HIGH-RISK ACTIVITIES WHERE FAILURE COULD LEAD TO DEATH, PERSONAL INJURY, OR SEVERE ENVIRONMENTAL DAMAGE. YOU ASSUME ALL RISK FOR SUCH USE.

9.4 Essential Purpose

Some jurisdictions do not allow exclusion of implied warranties or limitation of liability. If these laws apply to you, the above limitations may not apply, but Licensor's liability shall be limited to the extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Licensor, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Software
• Your violation of this EULA
• Your violation of any law or regulation
• Infringement of third-party rights

11. Updates & Modifications

11.1 Software Updates

Licensor may release updates to:

• Fix bugs and security vulnerabilities
• Add new features
• Improve performance
• Ensure compatibility with new operating systems

You agree to install updates promptly. Some updates may be required for continued use.

11.2 EULA Modifications

Licensor may modify this EULA by:

• Posting the updated EULA on our website
• Notifying you via email or in-app notification
• Requiring acceptance before continued use

Your continued use after changes constitutes acceptance.

12. Export Controls

The Software may be subject to export control laws. You agree to comply with all applicable export and import laws and regulations. You may not export or re-export the Software to:

• Countries subject to U.S. trade embargoes
• Individuals or entities on restricted party lists
• For prohibited end uses (weapons development, etc.)

13. U.S. Government Rights

If you are a U.S. government entity, the Software is "commercial computer software" and "commercial computer software documentation" as defined in FAR 12.212 and DFARS 227.7202. Use, duplication, and disclosure are subject to the terms of this EULA.

14. Miscellaneous

14.1 Governing Law

This EULA is governed by the laws of Virginia, United States, without regard to conflict of law principles.

14.2 Jurisdiction

Any disputes shall be resolved in the state or federal courts located in Fairfax County, Virginia. You consent to personal jurisdiction in these courts.

14.3 Arbitration

Any disputes arising from this EULA shall be resolved through binding arbitration in Fairfax Station, VA, except you may bring claims in small claims court.

14.4 Entire Agreement

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement and supersedes all prior agreements.

14.5 Severability

If any provision is found unenforceable, the remaining provisions continue in full force.

14.6 Waiver

Failure to enforce any provision does not waive the right to enforce it later.

14.7 Assignment

You may not assign this EULA without written consent. Licensor may assign to any successor or affiliate.

14.8 Force Majeure

Licensor is not liable for delays or failures due to causes beyond reasonable control (natural disasters, war, terrorism, etc.).

16. Acceptance

Installation Acceptance: During installation, you will be presented with this EULA and asked to accept by clicking "I Agree" or similar button. If you do not accept, installation will not proceed.

First-Run Acceptance: Upon first launch, you will be asked to confirm acceptance of this EULA. If you decline, the Software will not activate.
