License agreement and usage terms for Kantivo

Please read these Terms of Service ("Terms") carefully before using Kantivo software ("Software", "Service", "Application") operated by Kantivo LLC ("us", "we", or "our").
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all users of the Software.
By downloading, installing, or using the Software, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not use the Software.
By using Kantivo, you agree to pay for your license, use the software legally, and not redistribute it. We'll provide the software as described, honor our price lock guarantee, and support you according to your plan. Below are the legal details.
Kantivo is licensed, not sold. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control.
The Software is available in multiple license tiers:
*Enterprise tiers include a base allocation of 30 users and 30 companies. Additional capacity is available at no extra charge for commonly-owned entities upon verification of common ownership. See Section 1.5 for details.

Accountant Enterprise Exception: Licensed accounting professionals using the Accountant Enterprise tier may manage client company data for the purpose of providing professional accounting services. However, this does not permit reselling software access or providing clients with direct login access to the Software.
This policy ensures Enterprise licenses serve their intended purpose—supporting growing businesses and accounting professionals—while preventing abuse that would undermine our pricing model and harm other customers. We're happy to accommodate legitimate needs for larger deployments.
Kantivo offers a 30-day free trial with full feature access. No credit card is required for the trial. You may create up to 2 user accounts and 2 companies during the trial period.
After the trial period expires, continued use requires a paid subscription:
All subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription rate (subject to price lock guarantee).
We guarantee your subscription rate will not increase for 12 years from your initial purchase date, provided you maintain continuous subscription status. Price increases for existing customers are prohibited during this period.
All fees are exclusive of applicable taxes (sales tax, VAT, GST, etc.). You are responsible for paying all taxes associated with your subscription.
Kantivo offers a 30-day free trial with full features. We encourage you to fully evaluate the software during your trial period before purchasing.
Due to the extensive free trial period, refunds on annual subscriptions are considered on a case-by-case basis for technical issues that prevent use of the software. Contact support@kantivo.app to discuss your situation.

You retain all ownership rights to your data. We do not claim any ownership over the financial data, customer information, or other content you enter into the Software.
We implement industry-standard security measures:
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
You may export your data at any time in standard formats (CSV, Excel, PDF). No fees are charged for data export.
Kantivo offers optional integrations with third-party services:
Use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or policies of third-party providers.
The Software includes an automatic update feature that downloads and installs updates without user intervention. This ensures you receive:
The Software automatically creates a safety backup before installing major updates. This allows you to restore your data if an update causes issues.

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SOFTWARE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
The Software is NOT designed for use in high-risk activities where failure could lead to death, personal injury, or environmental damage. You use the Software at your own risk.
While we strive for accuracy in all descriptions of the Software, including marketing materials, website content, feature descriptions, and comparison pages, unintentional errors, omissions, or outdated information may occasionally occur. Users are encouraged to exercise their own due diligence to verify that the Software's features and capabilities meet their specific needs before purchasing.
Should you discover any inconsistency between our published descriptions and the actual functionality of the Software, please report such discrepancies to support@kantivo.app so that we may promptly assess and make any necessary corrections. We are committed to maintaining accurate and transparent information for our users.
You agree to indemnify, defend, and hold harmless Kantivo LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:
All intellectual property rights in the Software, including source code, design, trademarks, logos, and documentation, are owned by us or our licensors. These Terms do not grant you any rights to our intellectual property except the limited license described in Section 1.
If you provide feedback, suggestions, or ideas about the Software, we may use them without obligation or compensation to you.
"Kantivo" and all related logos are trademarks of Kantivo LLC. You may not use our trademarks without prior written permission.
These Terms are governed by the laws of Virginia, United States, without regard to conflict of law principles.
Any disputes arising from these Terms or the Software shall be resolved through binding arbitration in Fairfax, VA, except that you may bring claims in small claims court.
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
These Terms constitute the entire agreement between you and us regarding the Software and supersede all prior agreements.
Our failure to enforce any provision of these Terms does not waive our right to enforce it later.
You may not assign these Terms without our written consent. We may assign these Terms to any successor or affiliate.
We may modify these Terms at any time by posting the updated Terms on our website. Your continued use of the Software after changes constitutes acceptance of the modified Terms. We will notify you of material changes via email or in-app notification.
